Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you", or "your") and FirstGov Business Setup & Corporate Services ("FirstGov", "we", "our", or "us"), a business setup and corporate services firm operating in Dubai, United Arab Emirates, with its principal office at Al Quoz 1, Dubai, UAE — Opposite DEWA Sustainable Building.

By accessing our website at www.first-gov.com, submitting an application, making a payment, or using any of our services — including our AI-powered legal advisory tools — you confirm that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must immediately cease using our website and services.

These Terms are governed by and construed in accordance with the laws of the Emirate of Dubai and the Federal Laws of the United Arab Emirates. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE, unless otherwise agreed in writing.

1. Services Provided

FirstGov provides the following categories of services:

The specific scope, deliverables, timelines, and fees for each engagement are as set out in the service package selected by the Client or in a separate written service agreement. FirstGov reserves the right to modify, suspend, or discontinue any service at any time with reasonable notice.

2. Client Obligations

You agree to provide FirstGov with accurate, complete, and up-to-date information and documentation as required for the performance of our services. You warrant that all documents submitted to us are genuine, authentic, and legally valid. You acknowledge that providing false, misleading, or fraudulent information is a criminal offence under UAE law and may result in immediate termination of our engagement, forfeiture of fees paid, and referral to the relevant UAE authorities. You are responsible for ensuring that your intended business activities comply with all applicable UAE laws, regulations, and licensing requirements. FirstGov acts as a facilitator and is not responsible for the commercial viability, legality, or success of your business. You must promptly respond to requests for information or documents from FirstGov, as delays caused by the Client may affect processing timelines. You agree not to use our services for any purpose that is unlawful, fraudulent, or contrary to the laws and regulations of the UAE.

3. Fees, Payment, and Refund Policy

All fees are quoted in UAE Dirhams (AED) or US Dollars (USD) as displayed at the time of purchase. Prices are inclusive of our professional service fees but are exclusive of government fees, authority charges, free zone registration fees, and any third-party costs, which are payable separately and are subject to change by the relevant authorities without notice.

Refund Policy: Due to the nature of government-regulated business setup services, fees paid are generally non-refundable once work has commenced or documents have been submitted to any authority. Refunds may be considered at FirstGov's sole discretion in the following limited circumstances: (a) FirstGov is unable to commence the service due to reasons entirely within our control; (b) the application is rejected by the relevant authority solely due to an error made by FirstGov (excluding errors caused by Client-provided information). Government fees and third-party charges are non-refundable under any circumstances. For Legal Advisory subscriptions, no refunds are issued once the subscription period has commenced. Disputes regarding fees must be raised in writing within fourteen (14) days of the transaction.

4. AI Legal Advisory Tool — Disclaimer

The AI-powered legal advisory tool available on our platform provides general legal information based on publicly available UAE federal and emirate-level legislation. It does not constitute formal legal advice, does not create a lawyer-client relationship, and should not be relied upon as a substitute for advice from a qualified, UAE-licensed legal practitioner. The tool is provided on an "as is" basis and FirstGov makes no warranties, express or implied, regarding the accuracy, completeness, timeliness, or fitness for purpose of the information generated. FirstGov expressly disclaims all liability for any loss, damage, or adverse outcome arising from reliance on the output of the AI legal advisory tool. For matters involving litigation, regulatory proceedings, criminal law, or significant financial transactions, you must seek advice from a licensed UAE lawyer.

5. Timelines and Government Processing

All timelines provided by FirstGov are estimates only. Business setup, visa processing, and related government procedures are subject to the processing times of the relevant UAE authorities, which are outside FirstGov's control. FirstGov shall not be liable for delays caused by government authorities, changes in regulatory requirements, public holidays, system outages at government portals, or any other factors beyond our reasonable control. We will use our best efforts to keep you informed of progress and any delays affecting your application.

6. Intellectual Property

All content on the FirstGov website, including but not limited to text, graphics, logos, icons, images, software, and the AI legal advisory tool, is the exclusive property of FirstGov or its licensors and is protected by UAE and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to access and use our website for personal, non-commercial purposes only. You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any content from our website without our prior written consent. The FirstGov name, logo, and brand elements are trademarks of FirstGov and may not be used without our express written authorisation.

7. Confidentiality

Both parties agree to maintain the confidentiality of all information disclosed in connection with the engagement that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. FirstGov will not disclose your confidential business information to third parties except as required by law, as necessary to perform the services (e.g., submission to government authorities), or with your prior written consent. This confidentiality obligation survives the termination of these Terms for a period of five (5) years.

8. Limitation of Liability

To the maximum extent permitted by applicable UAE law, FirstGov's total aggregate liability to you for any claim arising out of or in connection with these Terms or our services shall not exceed the total fees actually paid by you to FirstGov in the twelve (12) months preceding the event giving rise to the claim. FirstGov shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of business, loss of data, or reputational harm, even if we have been advised of the possibility of such damages. Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, or any liability that cannot be excluded by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless FirstGov, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your breach of these Terms; (b) your violation of any applicable law or regulation; (c) any inaccurate, incomplete, or fraudulent information or documents provided by you; (d) your use of our services in a manner not authorised by these Terms; or (e) any third-party claims arising from your business activities.

10. Anti-Money Laundering and Compliance

FirstGov is committed to full compliance with UAE Anti-Money Laundering (AML) and Counter-Terrorism Financing (CTF) laws, including Federal Decree-Law No. 20 of 2018 and its implementing regulations. We are required by law to conduct due diligence on all clients, verify the source of funds where applicable, and report suspicious transactions to the UAE Financial Intelligence Unit (FIU). By engaging our services, you consent to us conducting KYC checks and agree to provide all information and documentation required for compliance purposes. We reserve the right to refuse or terminate any engagement where we have reasonable grounds to suspect involvement in money laundering, terrorism financing, or any other illegal activity, without liability to you.

11. Termination

Either party may terminate the engagement by providing written notice to the other party. FirstGov reserves the right to terminate immediately and without notice if: (a) you breach any material provision of these Terms; (b) you provide false or fraudulent information; (c) we are required to do so by law or a competent authority; or (d) continuing the engagement would expose FirstGov to legal, regulatory, or reputational risk. Upon termination, all outstanding fees for work completed to the date of termination become immediately due and payable. Termination does not affect any rights or obligations that have accrued prior to termination.

12. Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or in connection with these Terms, the parties shall first attempt to resolve the matter amicably through good-faith negotiations within thirty (30) days of written notice of the dispute. If the dispute cannot be resolved through negotiation, it shall be referred to and finally resolved by the courts of the Emirate of Dubai, UAE, which shall have exclusive jurisdiction. These Terms and any dispute arising hereunder shall be governed by the laws of the UAE and the Emirate of Dubai. The language of proceedings shall be Arabic, with English translations provided where necessary.

13. Amendments

FirstGov reserves the right to amend these Terms at any time. Amended Terms will be posted on our website with an updated effective date. For existing clients, material changes will be communicated by email with at least fourteen (14) days' notice. Your continued use of our services after the effective date of any amendment constitutes your acceptance of the revised Terms. If you do not agree to the amended Terms, you must discontinue use of our services and notify us in writing.

14. Entire Agreement and Severability

These Terms, together with our Privacy Policy and any specific service agreement entered into between the parties, constitute the entire agreement between you and FirstGov with respect to the subject matter hereof and supersede all prior agreements, representations, and understandings. If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. No waiver of any provision of these Terms shall be effective unless in writing and signed by an authorised representative of FirstGov.
